We provide this site as a service to our customers.  Please read the following basic rules that govern your use of the CareNatural website before using our site.  Please note that by using the CareNatural website (the “Site”), you agree to follow and be bound by these Terms of Use.  If you do not agree to these Terms of Use, you may not use the Site. 
 
Changes to the Terms of Use
CareNatural reserves the right to update or modify these Terms of Use at any time without prior notice to you by posting the updated Terms of Use on the Site. You confirm your acceptance of the modified or updated Terms of Use by continuing to use the Site after the new Terms of Use have been posted.  For this reason, we recommend that you review these Terms of Use whenever you use the Site.

Use of the Site
CareNatural grants you permission to use the Site, its contents and software solely for shopping and as a resource, and for no other purpose.  Any other use, reproduction, modification, distribution or republication without the prior written consent of CareNatural is prohibited.  By accepting these Terms of Use through your use of the Site, you certify that you are 18 years of age or older.  If you do not agree to any of these terms and conditions, please do not use the Site.

Copyrights
Unless otherwise noted, all Site images, text, design, graphics, logos, button icons, recipes, audio clips, video clips and the selection and arrangement thereof are the exclusive property of CareNatural and/or its licensors and are protected by U.S. and International copyright laws.  The compilation of all content on this Site is the exclusive property of CareNatural and is also protected by U.S. and international copyright laws. All software used on this site is the property of CareNatural or its software suppliers and is protected by U.S. and international copyright laws. Permission is granted to electronically copy and to print in hard copy portions of this Site for the sole purpose of placing an order with CareNatural or using this Site as a shopping resource. Any other use of materials on this Site - including reproduction for purposes other than those permitted above, modification, distribution, republishing, transmission, display or performance - without the prior written permission of CareNatural is strictly prohibited.

careNatural, CareNatural.com, all logos, all product and service names, design marks and slogans are the trademarks or service marks of CareNatural and may not be used in connection with any product or service that is not offered by CareNatural in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits CareNatural. All other trademarks, product names and company names or logos cited herein are the property of their respective owners. No trademark or service mark license is granted in connection with the materials contained on this Site.

User Reviews, Feedback, Submissions
All user-generated content, comments, feedback, suggestions and ideas disclosed, submitted or offered to CareNatural in connection with your use of the Site (collectively, "Comments"), shall be and remain the exclusive property of CareNatural and may be used by CareNatural in any medium and you agree to execute any documents that may be necessary for such an assignment of rights. By providing your Comments to CareNatural, you are expressly consenting to CareNatural’s use of your Comments. For example, your Comments could be used on the Site and in radio, television, and print advertisements. Your first name, first initial of your last name, age, and town and state may be used with any Comments you submit.

The information and opinions expressed in comments on this Site are not necessarily those of CareNatural, and CareNatural makes no representations or warranties regarding any Comment. CareNatural does not represent or guarantee the truthfulness, accuracy, or reliability of any Comments or determine whether the comments violate the rights of others. Termination
These Terms of Use are effective unless and until terminated by either you or CareNatural. You may terminate these Terms of Use at any time, provided that you discontinue any further use of the Site. CareNatural also may terminate these Terms of Use at any time and may do so immediately without notice, and accordingly deny you access to the Site, if in CareNatural's sole discretion you fail to comply with any term or provision of these Terms of Use.

The following sections shall survive any termination of these Terms of Use: "Copyrights,” “Trademarks," "User Reviews, Feedback and Submissions," "Indemnification," "Termination," "Disclaimer" "Limitation of Liability," and "General."

This site is provided by CareNatural on an “As Is” and “As Available” basis. CareNatural Makes no representations or warranties of any kind, express or implied, as to the operation of the site of the information, content, materials, or products, or products included on this site. To the full extent permissible by applicable law, CareNatural disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, title, and non-infringement.

CareNatural does not represent or warrant that materials in the web site are accurate, complete, reliable, current, or error-free.

CareNatural does not represent or warrant that the web site or its server is free of viruses or other harmful components.

By using of this site, you acknowledge, that you use of this site is at your sole risk. Some States do not allow limitations on how long an implied warranty lasts, so the foregoing limitations may not apply to you.

Product and Label Disclaimer

The CareNatural Web site is solely an online store for specialty related products that provides additional educational information on issues of interest to our customers. Our intention is only to help you make a decision regarding a purchase but not to replace any medical professional or medical resource. No prescription medications or medical treatments are intentionally provided on this site.

All CareNatural purchases are for consumer use only. Products may NOT be resold. Dealer orders will NOT be accepted. CareNatural reserves the right to restrict dealer activity, accounts and to not process dealer orders.

Limitation of Liability
In no event shall CareNatural be liable for any direct, indirect, special, punitive, exemplary, incidental, or consequential damages, or any damages whatsoever in excess of the amount you paid to CareNatural for the product(s) at issue, even if CareNatural has been previously advised of the possibility of such damages, whether in an action under contract, negligence, or any other theory, arising out of or in connection with the use, liability to use, or performance of the information, services, products and materials available from this site. Applicable Law
These Web site Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without resort to its conflict of law provisions. You agree that any action at law or in equity arising out of or relating to these Web site Terms and Conditions or your use of the Web site shall be filed only in the state and federal courts located in Sacramento County, California and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action or proceeding arising out of or relating to these Web site Terms and Conditions or your use of the Site.

Taxes
Depending on which state you live in, you may be required to pay sales or use tax on the items purchased on the Site or otherwise from CareNatural.  Furthermore, certain states, including, without limitation, Colorado, require purchasers to file a sales or use tax return for items purchased on this Site.

General
These Terms & Conditions of Use represent the complete agreement between the parties and supersede all prior agreements and representations between them. Headings used in these Terms & Conditions of Use are for reference purposes only and in no way define or limit the scope of the section. If any provision of these Terms & Conditions of Use is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable and the other terms of these Terms & Conditions of Use shall remain in full force and effect. The failure of CareNatural to act with respect to a breach of these Terms & Conditions of Use by you or others does not constitute a waiver and shall not limit CareNatural's rights with respect to such breach or any subsequent breaches. These Terms & Conditions of Use shall be governed by and construed under California law without regard to conflicts of law provisions. Any action or proceeding arising out of or related to these Terms & Conditions of Use or your use of this Site must be brought in the state or federal courts of California and you consent to the exclusive personal jurisdiction of such courts.

Care & Share Membership Terms & Conditions
The following are the terms and conditions of participation in the CareNatural, Inc. Care Group Customer Referral Program. "Referrer" refers to CareNatural Care Group Member or yourself, and "CareNatural" refers to CareNatural, Inc. 2222 Michelson Drive, #5220, Irvine, CA 92612. This Agreement may be revised at our discretion at any time.

Membership Eligibility
To qualify for participation in the Care Group Membership, You must: (a) be an individual who is at least eighteen (18) years old of US or Canadian residents; (b) be a CareNatural customer; and (c) be able to receive payments via PayPal. (d) Fully accept and unconditionally agree to these Terms and Conditions.

Registration
During the registration process, Referrer will be assigned a unique alphanumeric code (Membership Code) to provide to friends and family and other third parties. Referrer are permitted to place links that we provide with Membership Code on writing, in emails or in other communications, and to create Referrer’s own links that properly include Referrer’s Membership Code.
CareNatural has the right to decline an application to join this program, or to cancel Referrer’s Club Membership at any time upon proving of the violation of this terms and conditions.

Commission and Payment
CareNatural will pay "Referrer" a set commission for each new customer referral to CareNatural. The amount of the commission will vary depending on the type of service(s) that are to be provided the new customer. Referrals can only be made through a single Referrer. Referrer commission shall be paid by company check in US dollars or credited into the CareNatural Card. Referrers will be paid between 30 and 60 days after new customer makes first payment for services performed. As required by US Law, US Residents are required to sign a W-9 form for the Internal Revenue Service before CareNatural can send your first payment.

All Customer Referral Program applications are subject to approval by CareNatural, Inc.

The Referral Rewards Program is valid only for referrals on new customers that have not registered to CareNatural or have not previously ordered products from CareNatural.

If the total amount due is under $100, the outstanding amount will be carried over to the next accounting period.

Customer refunds and credits will be subtracted from the revenue applied to the reward program commission calculation.
CareNatural may change these terms and conditions at any time.

CareNatural will pay you a reward of 20% of the product purchased by the referrals. Taxes, Shipping & handling charges are not included.

Membership Code
Upon acceptance, you will be issued a "Membership Code" which allows us to identify new customers as originating from you. As long as a new customer uses your Membership Code when requesting a service, we will be able to identify the customer as originating from you. For you to receive Commissions, a new client must use your Membership Code. Referrer is solely responsible for ensuring that their referrals use the proper Membership Code.

If referred customer does not provide the proper Membership code at the time of service registration, payment is NOT DUE the Referrer, no exceptions.

CareNatural reserves all rights in or to its trademarks but may be used by Referrer in accordance with this agreement. Referrer may in no way display a CareNatural related logo, image, or trademark, which may be distasteful, defame, or misrepresent its brand. CareNatural has the right to specify how and if a trademark may be used by the Referrer. Referrer shall take great care to not misrepresent CareNatural products or services.

Referrer agrees to NOT SEND UNSOLICITED or SPAM mail to promote CareNatural products or services. This action is grounds for immediate termination of your account with a cancellation of any pending commissions.

Non-Qualifying Referral Referrers
Web Sites or businesses that promote sexually explicit material or violence do not qualify as a Referral Referrer. Sites or business that promote discrimination based on race, sex, religion, national origin, and physical disability shall not be accepted. Sites that promote illegal activities shall not be accepted. Please do not apply if your web site or business promotes these kinds of activities. By applying, you are stating that your Site and business does not directly promote or endorse these activities.

Term of agreement
This agreement remains in affect until canceled by either party. Rewards or Commissions earned through the date of expiration or cancellation of this agreement will remain payable only if qualifying sales are not canceled or refunded by the referred Customers and the Referrer has not violated this agreement. Payment of the final Commission payment to the Referrer may be withheld for a reasonable time in order to ensure that the correct amount is paid.

CareNatural reserves the right to discontinue this program at any time and will not be liability for any future loss of income that Referrer may incur.

Modifications to the Terms
CareNatural reserves the right, at its sole discretion, to modify or replace any of these Terms and Conditions, or change, suspend, or discontinue the Care Group Membership Referral Program (including without limitation the payment of Referral Fees) at any time by posting a notice on its website or by sending you an email. CareNatural may also impose limits on Your Participation in the Program without notice or liability. It is your responsibility to check these Terms and Conditions, which are available at www.CareNatural.com, periodically for changes. Your continued use of the Service following the posting of any changes to the Terms of Use constitutes acceptance of those changes.

Disclaimer
CareNatural will make every reasonable effort to track and pay commissions for all sales that apply to Referrer. However, CareNatural is not responsible for technical problems, Acts of God, acts by third parties, or other events outside our reasonable control, which may temporarily disrupt or diminish this service. We will may every reasonable effort to identify the originating partner and credit them accordingly.

Privacy
To protect CareNatural customer privacy, we cannot provide identifying customer names and contact information to Referrer. However, CareNatual will provide a report with each Referrer payment detailing services provided and date of sale. Please also see Privacy Policy online for other details.

Independent Contractor
For all purposes of this Agreement each party shall be and act as an independent contractor and not as partner, joint venturer, or agent of the other and shall not bind, nor attempt to bind, the other to any contract. Referrer will not have any right or ability to assign, transfer, or sublicense any obligations or benefit under this Agreement without the written consent of CareNatural (and any such attempt shall be void). CareNatural may assign and transfer this Agreement and its rights and obligations hereunder freely without consent. The parties agree that this Agreement shall be governed by the laws of the State of California without regard to the conflict of the laws provisions thereof. The parties further agree that if any portion of this Agreement is illegal or unenforceable, such portion(s) shall be limited or excluded from this Agreement to the minimum extent required and the balance of this Agreement shall remain in full force and effect and enforceable.

Representations and Warranties
Referrer hereby represent and warrant that: (a) Referrer will comply applicable laws or regulations (including without limitation copyright laws and anti-spam laws) in connection with the participation in this Referral Program and Referrer will not use the CareNatural account or the Program for any illegal or unauthorized purpose; (b) Referrer will not misrepresent the relationship with CareNatural to any third party and Referrer will not make any warranty or representation on behalf of CareNatural (including with respect to the pricing of CareNatural products); and (c) Referrer’s participation in the Program does not and will not violate any agreement between Referrer and any third party. Referrer agrees that CareNatural will have no liability for Referrer’s breach of the foregoing and Referrer will indemnify and hold CareNatural harmless from any damages resulting therefrom. Except for the foregoing, neither party makes any warranties, express or implied, with respect to the program or any products sold through the program, including without limitaion implied warrarties of fitness, merchantability or non-infringement.

Warranty Disclaimer
CareNatual makes no warranties expressed or implied with regard to Customer Referral Program except as outlined in this agreement.

CareNatural makes no express or implied warranties or representations with respect to the agreement or any services or products that may be involved at any time with this agreement. CareNatual disclaims warranties (including, without limitation), fitness for a particular purpose, title, merchantability, or any implied warranties arising out of a court of performance or usage. CareNatural makes no representation that the operation of CareNatural website or service and products will be uninterrupted or error-free. CareNatural is not responsible or liable for punitive or consequential damages. Any products or services of CareNatural are not to be used in medical or other circumstances where failure or interruption could cause injury or death.

Limitation of Damages
CareNatual shall not be held liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even if CareNatual has been advised of the possibility of such damages. CareNatural aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by CareNatual under this agreement.

Referrer understands that Referral tracking can never be 100% accurate and CareNatural is not responsible for inaccuracies that might occur beyond its control. Tracking of Referral sales depends on the referred customer providing the proper Membership Code. It is the goal of CareNatural to make Referral tracking as accurate as possible, however, CareNatural cannot guarantee 100% tracking reliability for situations beyond its control.

Limitations of Liability
By participating in the Program, each Member accepts all responsibility for, and hereby indemnifies and holds harmless CareNatural, each of its related companies, and each such company's respective officers, directors, employees, shareholders, agents, and successors, and assigns (the “Released Parties”), from and against any claims that may arise from actions taken by such Participant.

Except where prohibited, Customer agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with the Program shall be resolved individually without resort to any form of class action and exclusively by arbitration under the Commercial Arbitration Rules of the American Arbitration Association; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred (i.e.,only costs associated with participating in the Program), but shall not include attorneys' fees under any circumstances; and (c) Member hereby waives all rights to claim punitive, incidental, and consequential damages.

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect.

Cancellation
CareNatural holds the right to cancel a Referrer's account for any reason if deemed necessary. If the terms of this agreement were not violated by the Referrer, then payment will be given to the Referrer for any services provided to a new customer or outstanding commissions if the account is canceled by CareNatural.

Governing Law
The laws of the State of California and the United States shall govern this agreement.
